Cooperative Bylaws

Article I — Name and Purpose

Common Cooperative (the “Cooperative”) is organized as a member-owned cooperative for the benefit of its members. Its purpose is to aggregate household group buying power to secure reduced costs across housing, healthcare, telecom, food, and insurance.

Article II — Membership

Membership is open to any individual or household that agrees to the terms of membership and pays the applicable membership fee. Each member household has one vote in cooperative governance matters, regardless of membership tier.

Article III — Governance

The Cooperative is governed by a Board of Directors elected by the members. The Board is responsible for overseeing provider partnerships, membership policies, and the strategic direction of the Cooperative. Board elections are held annually.

Article IV — Surplus Distribution

Any operating surplus generated by the Cooperative shall be allocated first to required reserves, then distributed to members in proportion to their patronage (usage of cooperative services), in accordance with cooperative principles.

Article V — Amendments

These bylaws may be amended by a two-thirds vote of members voting at a duly called meeting, provided that proposed amendments have been communicated to all members at least 30 days prior to the vote.
